** Property & Casualty insurance sector
** seeking an experienced
** M&A & corporate
** counsel to support ongoing strategic growth initiatives,
** reporting to the General Counsel**. This role reports into senior legal leadership and sits within an in-house legal team supporting corporate, transactional, and commercial matters across the business.

The position is well suited for a legal professional with
** deep P&C insurance corporate experience and direct insurance-specific M&A exposure**. This role is not applicable to candidates whose transactional experience is limited to non-insurance industries.

** Role & Responsibilities:**
* ** Insurance Transaction / Insurance-specific M&A Expertise**+ Structuring and negotiating acquisitions, divestitures, renewals, and portfolio transfers+ Conducting legal due diligence (policies, liabilities, regulatory exposure)+ Advising on
** insurance-specific deal issues** (reserves, reinsurance, distribution, regulatory approvals)
* ** Program & Distribution Agreement Expertise**+ Drafting and negotiating
** program administrator / program carrier agreements**+

Experience with
** MGA / MGU structures**, authority grants, and underwriting frameworks+ Managing profit-sharing, commission, performance, and termination provisions
* ** Reinsurance & Risk Transfer Knowledge**+ Drafting and negotiating reinsurance agreements (treaty & facultative)+ Understanding allocation of risk, collateral, recoverables, and cut-through provisions+ Aligning reinsurance structures with program and transactional strategies
* ** Regulatory, Licensing & Compliance Acumen**+ Navigating
** multi-state insurance regulatory requirements**+ Advising on
** licensing, appointments, and producer/MGA compliance**+ Supporting filings, approvals, and change-of-control requirements
* ** Strategic Business Advisory / Stakeholder Support**+ Advising underwriting, finance, claims, and executive teams+ Translating legal and regulatory risk into practical business guidance+ Supporting product, distribution, and program initiatives---###
** Required Qualifications (Non-Negotiable):**
* ** MUST HAVE
** Juris Doctor & Bar Admission USA
* **** MUST HAVE
**** 3-5+ years of direct experience handling M&A transactions
** in the insurance sector** (insurance-specific M&A required) and/or corporate legal experience within the
** P&C insurance industry**.
