Team/Role OverviewThe Restructuring Group is part of the Transaction Management Services for Europe, UK and Middle East and Africa for Issuer Services which is part of Securities Service. The team's core responsibility is to manage fiduciary risk in relation to post-closure bond & loan matters such as restructures, loan and security releases, amendments, and waiver requests from the trustee’s viewpoint. The role sees the team involved in a range of matters from small amendments to large complex international defaults, making it an interesting and diverse background for coverage of files.
Whatyou’ll do
- Review trustee post-closure matters on bond & loan transactions through review, negotiation, and execution of relevant documentation in relation to Issuer Services trustee product offerings (e.g. project finance & global loan transactions, structured finance transactions, collateral agent, Eurobonds, and EMTN programmes)
- Attend weekly fiduciary committee meetings where applicable.
- Ensure accurate and timely set up and ongoing maintenance of transaction files including recording of time spent on the files.
- Manage post-signing security arrangements for transactions and ongoing administration and liaison with relevant deal counterparts.
- Produce transaction resume/deal-specific checklists where required.
- Act as a focal point for allocated clients.
- Build and develop relationships with clients, lawyers, and financial advisers.
- Initiate/ensure correct client billing on an ongoing basis.
- Relevant experience in Capital Markets in a financial organisation
- Experience with Loans/Bonds as paralegal / documentation specialist
- University degree; suited for a lawyer, 4 plus qualified in the capital markets.
- Strong inter-personal/communication and negotiation skills
- Strong transaction management skills
- Strong administrative and prioritization skills
