Overview

Job Description

As Corporate Counsel, you will report to the Vice President, General Counsel, Global Corporate. You will assist others within the Vertiv Global Legal Department in support of Vertiv’s corporate functions and global corporate legal matters with focus on supporting Vertiv’s M&A strategy and execution.

The Corporate Counsel will interact with our management, and business associates across our corporate and business functions and departments, including but not limited to, finance, accounting, tax, treasury, investor relations, manufacturing and operations, sales, procurement and supply chain, IT, engineering, and strategy and business development teams, as well as with external legal service providers and other individuals depending on the issue at hand.

This position is located at our Westerville, OH at our Global HQ.

Responsibilities
  • Assist in drafting and negotiating various commercial agreements, including but not limited to, customer and supplier agreements, technology agreements, asset and share purchase/sales agreements, transition services agreements, consulting and employment agreements, tax matters agreements, IP license agreements, etc.
  • Effectively provide counsel and support for corporate governance related matters, including, but not limited to, preparation of materials for board and committee meetings, annual stockholder meetings, etc.
  • Effectively provide counsel and support for commercial transactions, including but not limited to, merger, acquisition, and divestiture activities, integration or divestment processes projects, and entity management and internal restructuring projects.
  • Effectively provide counsel and support for global corporate legal matters, including but not limited to, environmental, social and governance, marketing and communications, tax, treasury, manufacturing and operations, and investor relations related matters, on an as needed basis.
Experience Required
  • Juris Doctorate from a nationally-accredited law school with strong academic credentials
  • Member in good standing of a state bar.
  • 4-6 years of relevant experience in a large law firm or in-house publicly traded company having substantial domestic and international operations.
  • Ability to perform legal research and compile, analyze and interpret data. Requires attention to detail and strong analytical and communication skills.
  • Demonstrated strong broad-based experience in various areas of law
  • Demonstrated strong experience with commercial transactions, including drafting and negotiating transaction documentation
  • Demonstrated strong experience with general corporate and business matters including operating agreements, bylaws, policies, and procedures

  • Judgment. Ability to discriminate relevant from irrelevant information and significant/material issues from insignificant/immaterial issues.
  • Independence. Highly motivated self-starter, able to accomplish tasks, make routine decisions and handle frequently encountered problems with minimum supervision, action oriented, results driven, sets clear expectations and milestones, reviews progress, acts decisively to solve problems, accountable for consistently meeting or exceeding goals.
