The Business Commercial Counsel is responsible for providing legal and/or business support to the Automotive business division Customer Account Management (CAM) Groups and its Strategic Business Units (SBU). The role interfaces with sales, engineering, product, customer service, finance, procurement, and supply chain functions, reporting directly to the Director, Corporate Counsel for the Automotive Division, North America. The candidate must handle complex negotiations and establish systems to deliver timely legal support for critical assignments with minimal supervision.
WhatYou Will Do
Managing legal and business risk across the division and its CAMs and SBUs:
- Sales: strategic partner reviewing, drafting, negotiating commercial agreements and amendments, including terms and conditions, master services, delivery, cooperation, licensing, professional services, and vendor agreements. Advise on the automotive RFQ process, maintain RFQ offer templates, and support resolution of commercial disputes with customers and suppliers, including litigation, arbitration, mediation, and external counsel guidance.
- Prepare and conduct trainings for managers and employees on relevant legal topics.
- Compliance: identify legal and regulatory issues in product initiatives and customer agreements, address privacy and data security issues, and collaborate with compliance teams on regulatory work streams. Partner with product certification teams on regional regulatory requirements and global trade compliance.
- Engage strategically in risk assessment and mitigation, developing innovative legal solutions aligned with business objectives.
- Engage with legal procurement and supply‑chain management on global supply‑chain issues.
- Promptly address unforeseen legal risks and communicate with legal leadership and CAM/SBU leaders.
- Advise the automotive warranty and quality teams on recall campaigns, customer disputes, claims, and settlements.
- Work with business divisions, SBUs, or functional teams to understand, assess, and address business risks and influence decisions.
- Direct and collaborate with legal and compliance staff to develop, update, and maintain templates, negotiation resources, and playbooks.
- Contract Review & Negotiation
:
Experience reviewing and negotiating complex commercial agreements, including automotive OEM terms, purchase and supply agreements, and licensing agreements. - Regulatory Knowledge
:
Familiarity with industry certifications and regulations such as ISO 26262, NHTSA FMVSS 111, GDPR, CCPA, ISO/SAE 21434. - Industry Knowledge
:
Understanding of automotive electronics, in‑cab user‑experience technologies, infotainment, ADAS, and connectivity. - Dispute Resolution and Litigation
:
Experience negotiating and mediating contract disputes, managing litigation, and advising leadership on resolution decisions and escalation. - Contract Lifecycle Management
:
Manage contracts from negotiation to execution and enforcement, ensuring compliance and performance. Familiarity with contract management systems and legal technology tools. - Juris Doctor and Bar admission (or equivalent).
- Strong analytic and communication skills, task‑focused, risk‑aware, able to work under pressure, manage multiple stakeholders, and exercise sound judgment.
- 8+ years of relevant experience, typically in‑house or law firm, and a law degree from an accredited law school.
Operational Effectiveness and Efficiency
- Prioritize, delegate, supervise, and monitor external legal resources or non‑legal teams to ensure high quality and timely delivery.
