Description

The Counsel - Principal role supports a broad range of legal matters across the Hoag enterprise. The ideal candidate will have experience in healthcare law, including contract review, physician arrangements, regulatory compliance, and operational legal support. Counsel will report to Hoag’s Chief Legal Officer.

Responsibilities
  • Providing legal support and guidance on healthcare operations, physician arrangements, regulatory matters, and general corporate issues.
  • Reviewing, drafting, and negotiating contracts, including:
    • Agreements with physicians and physician entities
    • Commercial agreements
    • Clinical research agreements
  • Supporting regulatory compliance, including:
    • Stark Law and Anti‑Kickback Statute considerations
    • Privacy and security matters (HIPAA)
    • Regulatory and State licensing requirements
  • Assisting with policy and procedure development to help operationalize legal and regulatory requirements.
  • Conducting legal research and preparing guidance on healthcare, corporate, and regulatory issues.
  • Supporting corporate compliance, risk management, and payer contracting activities, including coordination with internal stakeholders.
  • Assisting with preparing board materials.
  • Supporting due diligence and internal investigations by gathering facts, reviewing documents, and preparing summaries.
  • Collaborating with business and clinical teams to provide practical, risk‑balanced guidance aligned with organizational strategy.
  • Performing other related legal duties as assigned.
Qualifications

Education and Experience

To meet the minimum qualifications for this position you must be a graduate from a law school accredited by the American Bar Association and have at 3-6 years of post-J.D. legal experience, preferably with a focus in healthcare law, which may be a combination of private practice, government agency practice, and/or in-house position.

License(s) Required

Member in good standing with the California Bar.
