Environmental issues kill transactions. A contaminated site can blow up a $500 million acquisition. A missed regulatory filing can delay closing by months.
Clients need lawyers who understand both the legal framework and the technical risks. That specialized knowledge makes you the lawyer they request by name.
You’ll conduct environmental due diligence on major M&A deals. Recent transactions include a $21.4 billion life sciences acquisition, a $5.1 billion energy deal, and multiple private equity platform acquisitions. This is deal work, not regulatory compliance.
What you’ll do and why it builds your practiceHere’s how the daily work translates into long-term career value:
- You’ll review Phase I and Phase II environmental reports, which teaches you to spot technical red flags that financial analysts miss. This makes you more valuable on due diligence teams.
- You’ll draft environmental provisions in purchase agreements and negotiate indemnification language, which builds your drafting skills on high‑stakes clauses that can shift millions in liability. Strong drafting on complex provisions positions you for partnership consideration.
- You’ll structure environmental insurance to cover transaction risk, which creates direct relationships with insurance brokers and underwriters who become part of your professional network.
- You’ll coordinate with environmental consultants on technical questions. Learning to translate complex scientific findings into business advice makes you more valuable than lawyers who only understand contract language.
- You’ll counsel clients on how environmental liabilities affect deal timing and valuation, which positions you as a strategic advisor, not just a document reviewer.
- Working directly with partners on deals for private equity sponsors and Fortune 500 companies builds the client relationships that generate repeat business and origination credit.
- You need 1‑2 years in a top‑tier M&A, private equity, or finance practice and genuine interest in environmental issues.
- Environmental science or engineering background helps but strong transactional skills matter more.
- You should be comfortable managing multiple deals under tight deadlines and have the analytical ability to understand both legal and technical documents.
- JD from a top‑tier law school. Bar admission required.
