• Negotiate and draft commercial agreements, including M&A documents, joint venture agreements, and shareholder agreements.
• Advise clients on day-to-day corporate governance, compliance, and entity structuring matters.
• Support M&A and private equity transactions from due diligence through post-closing integration.
• Collaborate with partners and colleagues across practice areas to deliver business-focused legal solutions.
• Represent clients in high-stakes corporate matters, providing strategic and practical advice.

• 5-8 years of corporate law experience in a law firm setting.
• Entrepreneurial mindset with strong drafting and negotiation skills.
• Collaborative team player, comfortable working independently in a fast-paced environment.
• Background in M&A, contracts, governance, and entity structuring.
• Admitted to practice in New York.
