Overview
A leading law firm is seeking a Corporate Securities Paralegal to join the team. The firm is celebrated for its inclusive culture, innovative approach, and dedication to career development. Responsibilities- Prepare for and assist with client meetings and transaction closings, including drafting and organizing key materials
- Draft and file entity formation documents, annual reports, qualifications, mergers, and dissolutions for various entity types
- Maintain accurate corporate and stock records while supporting governance compliance
- Order and review UCC, tax lien, and litigation searches and summarize findings for attorneys
- Conduct Blue Sky research and assist with related filings and SEC submissions
- Obtain and organize Certificates of Good Standing and other documentation for legal opinions and closings
- Manage CARTA equity tracking and assist with audit letter responses
- Support firmwide projects and assume additional responsibilities as requested
- You have a bachelor’s degree and 5+ years of corporate securities paralegal experience
- Strong communicator with excellent writing, organization, and attention to detail
- Known for professionalism, discretion, and a commitment to client service
- Technologically adept, with proficiency in Microsoft Office and the ability to learn new applications quickly
- Filings and transactions are completed accurately and efficiently
- Corporate records and filings are organized, compliant, and up to date
- Attorneys and clients rely on you as a trusted, responsive resource
Salary Range: $100,000 – 125,000 annually, based on experience
Location: New York, NY – Hybrid
