Overview
(New York, NY) Represent public companies, boards of directors, and private equity funds & their portfolio companies in cross‑border and domestic transactions, which include acquisitions, dispositions, strategic management, de‑SPACs, take‑private transactions, joint ventures, spin‑offs & equity investments.
Responsibilities- Advise clients considering or participating in these transactions.
- Negotiate and prepare transactional documents.
- Oversee and coordinate buy‑side due diligence and sell‑side outreach.
- Negotiate NDAs in proprietary transaction and auction processes.
- Prepare and review public disclosure filings.
- Advise on internal restructuring and prepare/review related correspondence.
- Advise public companies and boards on general corporate matters, fiduciary duties, shareholder activism defense, and prepare related documentation and presentations.
- JD or foreign equivalent.
- NY Bar admission.
- At least 3 years of experience in a similar position.
$390,000 per year.
