Your Role at

Your Role at Primary Function:
The Senior Corporate Counsel provides legal advice on a broad range of corporate, commercial, and transactional matters, working cross-functionally with various teams throughout the company. The role involves drafting and negotiating agreements (using existing templates, improving or creating templates, drafting terms and/or contracts for unique deals and third party paper) and advising business teams as a partner in achieving the Company’s objectives.

This role also supports corporate, Board, securities, compliance, M&A, and HR functions. The Senior Corporate Counsel collaborates with key stakeholders to execute strategic business goals and provide practical legal advice, while protecting the Company’s interests and mitigating risk and liability in areas such as confidential information, intellectual property, and revenue. A high level of discretion, self-confidence, flexibility, and adaptability is required.

What

You'll Do
  • Draft, review, and negotiate legal agreements with strategic partners, including contracts with customers, partners, and resellers.
  • Advise on a broad range of commercial issues, including corporate governance, legal and regulatory compliance, capital raises, and business growth (international expansion, M&A, etc.).
  • Assist with HR matters at all levels of the Company (Board Advisors, executives, employees and independent contractors).
  • Facilitate strategic relationships by advising on deal structuring, drafting custom terms and conditions, negotiating terms, and ensuring deals comply with the Company’s pricing and authority matrix.
  • Coordinate with outside counsel, including managing services and expenses; engage external support for complex issues as needed.
  • Provide subject matter support for privacy, including drafting policies, procedures, templates, and negotiating with clients.
  • Support other legal teams and functions as needed.
  • Prepare, review, and update corporate policies and regulatory compliance.
  • Perform ad-hoc legal administrative tasks as needed.
  • Prepare materials for Board Meetings, support corporate secretary functions, and maintain the Company’s cap table.
  • Navigate continuously developing global compliance programs and collaborate cross-functionally to develop new processes and procedures to support internal clients.
  • Other duties as assigned by the Company.
What You Bring
  • JD and admission to a state bar in good standing (or eligibility to practice as in-house counsel based on bar qualification), with preference for New York Bar.
  • 5+ years of experience at a major law firm, with in-house experience at a SaaS/technology company preferred.
  • Experience in complex SaaS agreements and M&A transactions.
  • Independent, self-motivated, able to work under pressure with a positive, service-oriented attitude.
  • Strong problem-solving, analytical, and decision-making skills.
  • Extremely detail-oriented and organized, with experience negotiating and closing legal agreements efficiently.
  • Ability to multi-task with excellent time and project management skills.
  • Strong written and verbal communication skills; reliable and responsive to communications.
  • Highest level of integrity and good judgment, with handling of highly sensitive, confidential information.
  • Strong computer skills, including comfort with GSuite and Microsoft products.
Salary Range
