** seeking an experienced
** M&A & Corporate Counsel
** to support ongoing strategic growth initiatives,
** reporting to the General Counsel**. This role reports into senior legal leadership and sits within an in-house legal team supporting corporate, transactional, and commercial matters across the business.

The position is well suited for a legal professional with
** deep P&C insurance corporate experience and direct insurance-specific M&A exposure**. This role is not applicable to candidates whose transactional experience is limited to non-insurance industries.

** Role & Responsibilities:
*** Provide transactional and corporate legal support on
** insurance-focused M&A activity**, including acquisitions, divestitures, and related strategic transactions.
* Serve as lead or primary drafter and negotiator on transaction documents, including purchase agreements, letters of intent, term sheets, and ancillary documentation.
* Support
** insurance-specific legal due diligence**, including review of regulatory, operational, and commercial materials, as well as closing and post-closing matters.
* Partner with internal stakeholders to identify and assess legal and business risk and provide practical, solutions-oriented guidance.
* Draft and negotiate a range of corporate and commercial agreements relevant to the insurance business, including confidentiality agreements, vendor contracts, and strategic partnership arrangements.
* Provide ongoing legal support related to
** corporate governance, finance, and insurance operations**.
* Ensure consistency and quality of legal advice across transactional and corporate matters.

** Required Qualifications (Non-Negotiable):
*** Juris Doctor from an accredited law school and active U.S. bar admission.
* ** Demonstrated corporate legal experience within the P&C insurance industry**.
* ** Direct experience handling M&A transactions in the insurance sector** (insurance-specific M&A required).
* Experience drafting and negotiating definitive transaction documents in an insurance context.
* Ability to operate effectively in a fast-paced, transaction-driven environment.
* Strong judgment, drafting skills, and ability to balance legal risk with business objectives.>
