A nationally recognized, Chambers-ranked Corporate practice is seeking an exceptional associate to join their New York office. This is an outstanding opportunity to work with a market-leading transactional team on a broad range of sophisticated domestic and cross-border matters across the corporate lifecycle.
Responsibilities- Advise clients on complex corporate transactions, including mergers and acquisitions, private equity and venture capital investments, securities offerings, and other general corporate matters.
- Support buyout funds, strategic acquirers, emerging companies, and institutional investors in high-value transactions.
- Draft and negotiate core transactional documents, including purchase agreements, investment agreements, shareholder agreements, and governance documents.
- Assist clients with ongoing corporate governance, compliance, and disclosure obligations.
- Work closely with cross-disciplinary teams on multi-jurisdictional matters, including tax, finance, regulatory, and employment issues.
- Manage deal processes and coordinate due diligence across multiple work streams.
- At least two years of experience in a top-tier law firm working on corporate or transactional matters.
- Juris Doctor and New York Bar admission required.
- Strong negotiating, drafting, analytical, and project-management skills.
- Excellent academic credentials and professional references.
- Demonstrated ability to work collaboratively in a fast-paced, team-oriented environment.
