Job Description

We are seeking an Associate General Counsel who will advise on general corporate, privacy, and compliance matters. The ideal candidate will be a strong utility player, eager to dig in and learn, have experience in a global organization, as well as drafting and negotiating legal agreements.
This role has room for growth as we continue developing, expanding, and improving our Legal processes and the company continues to grow through mergers and acquisition and organic growth. The team is empowering, collegial and seeks to promote an amazing professional experience in a fun, dynamic and super-fast paced environment.
This position is hybrid with an expectation to commute in 3 days per week to our Jericho, NY or New York, NY office.
Job Responsibilities- Draft, negotiate, and review letters of engagement, complex contracts and related agreements such as Master Services Agreements.
- Work with key internal stakeholders to draft, update, and manage J.S. Held’s templates, policies and procedures, including corporate compliance, ethics, and privacy.
- Provide legal and regulatory guidance to Business Leaders and other key internal stakeholders.
- Play an active role supporting M&A activities, from LOI/IOI through closing and into integration.
- Provide support for litigation, dispute resolution, and other matters as they arise.
- Work with legal and internal teams as well as internal clients to strengthen our capabilities and make a meaningful contribution to material matters to empowering J.S. Held employees and stakeholders.
- Demonstrate success drafting, reviewing and negotiating legal agreements, letters of engagement, corporate documents and legal records of compliance.
- Engage, manage and coordinate with outside counsel when necessary.
- Collaborate on special projects and respond to ad hoc requests as needed.
- J.D. degree from an ABA accredited law school with 5+ years of legal experience.
- Admitted to and in good standing with a State Bar.
- Strong initiative, work ethic and the desire to be part of a fast paced, nimble and impactful team.
- Ability to enable the business for continued success while balancing legal issues and business risk.
- Strong contractual drafting and negotiating experience required. Government contract experience a plus.
- Experience working in a large, global business with the ability to effectively manage competing priorities in a fast‑paced environment.
- Ability to support and navigate complex conflict checks.
- Strong written and verbal communication skills with ability to convey complex ideas clearly and a demonstrated ability to interact with colleagues at all levels.
- Strong sense of urgency and confidentiality.
- Proficiency in Microsoft Office.
- You should want to love to learn, take initiative, and really want to love what you do here and the people you do it with.
- Professional services experience preferred.
- Foreign language skills a plus.
- Prolonged periods sitting at a desk and working on a computer.

A reasonable estimate of the salary range for this role is $140,000 - $170,000. Any offered salary range is based on a wide array of factors including but not limited to skillset, experience, training, location, scope of role, management responsibility, etc.
