Cooley is seeking a Conflicts Staff Attorney to join the Business Intake and Conflicts team. The business intake and conflicts function is essential to the firm’s compliance with ethical obligations and risk management policies, avoidance of malpractice claims, and ability to onboard new business.
Working closely with Associate Directors of Conflicts, the Conflicts Staff Attorney is responsible for assuring compliance with applicable Rules of Professional Conduct and managing loss prevention functions.
Position Responsibilities- Review and analyze client‑imposed engagement letters and outside counsel guidelines
- Upload, code, and quality control client‑related terms in the Terms database
- Draft conflict waivers and engagement letters
- Collaborate with the General Counsel’s office and BIC Leadership on risk‑related matters
- Maintain up‑to‑date knowledge of the ABA Model Rules of Professional Conduct and jurisdictional differences
- Monitor ABA and jurisdictional rules for changes and suggest modifications to firm policy
- Analyze and resolve conflicts of interest related to new business and new hires
- Effectively work with Managers, Directors, BIC team members and firm attorneys to obtain information for conflict determinations
- Draft and review ethical screens, conflict waivers and risk management engagement letter provisions
- Assist with administering the firm’s client engagement terms program
- Conduct research projects on conflicts of interest issues and corporate affiliations
- Perform additional duties as assigned or required
Required:
- Proficiency in Microsoft Office, iManage, and other firm applications
- Ability to travel and work extended or weekend hours as required
- 3+ years of conflicts resolution experience, contract review, or law firm risk management
- JD degree
- Familiarity with ethical walls, waiver templates, and client terms databases
- Strong analytical and communication skills
- Active member in good standing or registered in‑house counsel of the bar(s) in all jurisdictions from which you regularly work, and the jurisdiction in which your assigned office is located, if applicable
Preferred:
- Legal ethics and conflicts experience
- Excellent written and oral communication skills
- Ability to handle multiple projects simultaneously

Expected annual pay range: $140,000 - $190,000, dependent on location, experience, and skill set.
