Assistant Corporate Counsel

Position Overview:

New Co Capital Group, a commercial financing provider, is seeking a full-time Associate Corporate Counsel to join our team. In this role, you will play a key part in handling corporate and contract matters, assisting with finance transactions (capital raise, commercial financing, fintech, payments) and general corporate governance matters. • Negotiate, draft and review commercial financing contracts, NDAs, vendor, referral partner, and investor agreements.
• Monitor and assist with compliance and corporate governance matters.
• Stay up-to-date on relevant legal developments, including fintech and financial services regulations, communicate their implications to the leadership team, and assist with compliance implementation and monitoring
• Provide legal counsel and guidance to various business units within the company, helping to identify and mitigate legal risks.
• Collaborate with external counsel as necessary and manage outside legal relationships effectively.

• Juris Doctor (JD) from an accredited law school and admission to the bar in the relevant jurisdiction.
• 2+ years of corporate/transactional experience in fintech or commercial financing company.
• Strong legal research and analytical skills.
• Exceptional written and verbal communication skills.
• Ability to work independently, manage multiple tasks, and meet deadlines.
• Team player with excellent interpersonal skills.
• Knowledge of receivables-based financing is a plus.
