OverviewMajor, Lindsey & Africa is seeking an Attorney with 10-15+ years of experience in Commercial Contracts in the Advertising and Marketing Industry.

Responsibilities- Lead, draft, and negotiate a wide range of commercial agreements for production and content services, including MSAs, SOWs, framework and rate cards, studio and post-production agreements, talent and rights clearances, asset delivery and acceptance, vendor and strategic sourcing agreements, platform and tooling (SaaS and on-prem), data and analytics services, licensing, reseller and partner agreements, and statements of work covering complex, multi-market deliverables and service structures.
- Address data, privacy, and information security requirements in client and vendor engagements, including DPAs, BAAs (as applicable), cross-border data transfer mechanisms, and jurisdiction‑specific privacy terms across the U.S., Canada, and LATAM, working closely with privacy and security specialists.
- Advise on IP ownership, licensing, and clearance, including rights in creative assets, music, talent, likeness, generative AI outputs and training data considerations, moral rights, open‑source and third‑party assets, usage windows, exclusivity, and territory‑specific restrictions.
- Counsel on advertising and marketing laws, substantiation, disclosures, and industry standards relevant to content production and activation across digital and physical channels.
- Support operational excellence in strategic sourcing and delivery, including supply‑chain and vendor risk management, SLAs, acceptance and remedies frameworks, pricing and change control, and performance governance for speed‑at‑scale delivery.
- Provide risk assessments, propose practical solutions, and support escalations with senior management, including for novel offerings, technology integrations, and multi‑jurisdiction campaigns.
- Build and maintain contracting playbooks, fallback positions, and templates tailored to production workflows, analytics, and omnichannel delivery, and drive adoption through training and change management.
- Oversee contract administration, governance, and compliance processes; develop training and legal risk management plans for executives, producers, project managers, and commercial teams.
- Coordinate with legal colleagues in the UK and other regions on cross‑border matters, global client frameworks, and aligned risk positions.
- Manage outside counsel strategically on specialized matters, controlling scope, cost, and outcomes.
- Lead and coach a junior lawyer based in India, setting priorities, reviewing work product, and supporting professional development.
- Contribute to broader Legal initiatives, including process optimization, knowledge management, and team engagement.
- Juris Doctor and admission to practice in at least one U.S. jurisdiction in good standing.
- 10-15+ Years Experience in complex commercial transactions, with strong exposure to marketing, advertising, content production, media, technology, data/analytics, and/or platform/SaaS deals. In‑house experience in marketing production or agency environments is highly valued.
- Demonstrated expertise in intellectual property and content rights, including creative/talent rights, music, licensing, and international clearance considerations; comfort navigating generative AI‑related contract issues and risk allocation.
- Working knowledge of data and privacy frameworks relevant to the U.S., Canada, and LATAM, including cross‑border data transfer issues and security standards; ability to operationalize privacy terms in production workflows.
- Strong business acumen with the ability to translate legal risk into clear, actionable guidance and to calibrate positions to commercial strategy and delivery realities.
- Track record of independently negotiating complex agreements and leading escalations with senior stakeholders in fast‑moving, deadline‑driven environments.
- Experience supervising and developing junior legal talent, including across different time zones.
- Excellent judgment, organization, and prioritization skills, with a collaborative, low‑ego, high‑service mindset.
- Willingness to travel periodically within the Americas and internationally as business needs require.
