Fund Governance Specialists support the governance framework for investment funds by ensuring appropriate oversight, controls, and decision-making processes are in place and functioning effectively. The role focuses on fund boards, committees, policies, approvals, and ongoing governance obligations throughout the fund lifecycle.
This position requires close collaboration with legal, compliance, risk, operations, and senior management, as well as interaction with fund boards, trustees, and external service providers.
Key Responsibilities- Support fund governance structures, including boards, committees, and oversight bodies
- Coordinate governance processes such as board meetings, approvals, resolutions, and minutes
- Maintain governance documentation, charters, policies, and records
- Partner with legal and compliance teams to ensure governance practices align with regulatory and fiduciary requirements
- Support fund-related approvals for launches, strategy changes, fee updates, and service provider appointments
- Monitor adherence to governance policies and internal controls
- Assist with governance-related reporting to senior management and fund boards
- Coordinate responses to governance-related audits, reviews, and examinations
- Maintain governance calendars, workflows, and evidence of oversight
- Identify opportunities to enhance governance processes, controls, and best practices
- Bachelor’s degree in Finance, Economics, Business, Accounting, Legal Studies, or a related field
- Understanding of investment fund structures, governance frameworks, and fiduciary responsibilities
- Experience or exposure to fund governance, compliance, legal operations, or risk management (preferred but not required)
- Strong organizational skills with exceptional attention to detail
- Ability to manage sensitive information with professionalism and discretion
- Proficiency in Excel and document management systems; familiarity with governance, compliance, or board management tools is a plus
- Strong written and verbal communication skills
- Ability to work effectively in regulated, deadline-driven environments
- Comfort interacting with senior leadership, fund boards, and external stakeholders
- Strong interest in fund oversight, governance, and regulatory integrity
