Cboe is seeking a Senior Counsel to provide legal support to Cboe’s Global FX business conducted by Cboe FX Markets, LLC (Cboe FX), Cboe SEF, LLC, a swap execution facility (SEF) regulated by the Commodity Futures Trading Commission (CFTC), and Cboe Fixed Income Markets, LLC, a broker-dealer regulated by the Securities and Exchange Commission (SEC) and FINRA (collectively, Global FX). This position is in New York, NY or Chicago, IL.
Responsibilities- Negotiate and draft client agreements.
- Draft Cboe SEF rules and rule filings to the CFTC to explain the purpose and basis of those rules.
- Assist with regulatory compliance issues related to a U.S. broker dealer with relevant regulators and government authorities, such as the SEC and FINRA.
- Draft and review Global FX user documentation, notices, website materials, sales, marketing, policies and procedures, and other documents and materials relating to the operation and services of Global FX.
- Draft required Global FX submissions and reports to the SEC, CFTC and other regulatory agencies.
- Provide legal support to Cboe staff, including guidance regarding Global FX rules and applicable law and regulation relating to the functions of Global FX, Global FX services, and Global FX business initiatives.
- Monitor for changes in legal requirements applicable to Global FX or that could have potential impact on Global FX’s business.
- Provide legal support for functions relating to compliance with the requirements applicable to Global FX and Global FX services.
- Provide legal guidance relating to regulatory requests, exams, inspections, and/or similar matters involving Global FX.
- Draft comment letters and regulatory proposals to the SEC, CFTC and other regulatory agencies, including regarding proposed regulations and proposed self-regulatory organization (SRO) rules.
- Conduct legal research related to federal laws and regulations relating to fixed income, FX, and swaps and the rules of other SROs and provide analysis and recommendations based on that research.
- Assist with various legal projects across the Legal Division and perform other duties as assigned.
- Maintain high standards of legal and regulatory compliance and promote a culture of compliance by helping ensure compliance with all legal and regulatory requirements of operating regulated markets.
Minimum of 4 years of experience as a practicing attorney, including 1-2 years with a focus on fixed income, FX, futures, securities, and/or other exchange traded derivative products. Previous employment at the CFTC or SEC or a trading venue or exchange is desirable.

- Strong writing skills and the ability to express complex subject matter in an accurate, clear, and straightforward manner.
- Ability to develop strategic solutions to legal problems and communicate to business effectively.
- Ability to effectively communicate both orally and in writing and to effectively interact with internal and external contacts.
- Experience in drafting rule filings and a working knowledge of the fixed income, FX, futures, securities, and/or derivatives markets.
