Corporate Tax Associate – Transactional (New York)

Wicker Hamilton is working with an international law firm in New York to identify high-calibre Corporate / Transactional Tax Associates for their expanding tax practice. This role sits at the heart of complex, high-value corporate and financial transactions and offers exposure to some of the most sophisticated tax work in the US market.

This opportunity is suited to associates who want broad transactional tax exposure rather than being siloed, and who are motivated by technically challenging work, cross-border deal flow, and early responsibility.

The Opportunity

Successful candidates will advise on the US federal income tax aspects of a wide range of domestic and cross-border transactions, including:

  • Public and private M&A, divestitures, and joint ventures
  • Private equity and strategic investments
  • Financing and structured finance transactions (including securitisations and credit structures)
  • Fund formation and investment activity
  • Energy, infrastructure, and project finance transactions (including tax credit structures)
  • Corporate restructurings and recapitalisations
  • You will work closely with corporate, finance, funds, and international tax teams, often acting as the central tax adviser on complex, multi-jurisdictional deals.
Core Responsibilities
  • Advise on US federal income tax issues arising in transactional matters
  • Structure transactions efficiently for corporate, sponsor, fund, and institutional clients
  • Draft and negotiate tax provisions in transaction documents (SPAs, LPAs, credit agreements, side letters, indemnities)
  • Lead or support tax due diligence and issue-spotting across transactions
  • Prepare technical memoranda, opinions, and client-facing tax analyses
  • Collaborate with colleagues across practices and jurisdictions on integrated matters
  • Mentor junior associates and manage work streams as seniority increases
Candidate Profile
  • 3–8 years’ post-JD transactional tax experience gained at a major law firm
  • Strong grounding in corporate and partnership taxation
  • Experience across M&A, private equity, funds, finance, or energy transactions (one or more)
  • Comfortable handling technically complex issues in fast-moving deal environments
  • Excellent drafting, analytical, and commercial judgment skills
  • Admitted to the New York Bar (or eligible to waive in)
  • LL.M. in Tax is advantageous but not required
Compensation

Highly competitive New York market compensation
, broadly ranging from $260,000 to $435,000+ base
, depending on class year, experience, and firm, plus discretionary bonus and comprehensive benefits.
