• Global Transactions – Cross-border M&A, international regulatory compliance, joint ventures
• Corporate Finance – fund finance, private fund debt finance, securitization, structured finance, asset-based lending, and real estate finance. Ideal candidates will have a background representing lenders, arrangers, and institutional clients in subscription credit facilities, NAV-based loans, hybrid structures, CLOs, CMBS, and repurchase or warehouse lending transactions. Roles involve drafting and negotiating complex financing agreements, reviewing fund documents, and ensuring regulatory compliance across diverse transaction types including capital call lines, rated note feeders, and real estate-backed financings.
  
  Experience with CRE CLOs, MSRs, whole loan trades, and real estate syndications or securitizations is highly valued.

• Draft, review, and negotiate complex transactional documents (contracts, operating agreements, fund docs, credit agreements)
• Manage M&A and finance transactions from diligence through closing
• Advise clients on entity structuring, risk, and regulatory matters
• Work closely with cross-functional legal teams and external stakeholders
• For senior attorneys: lead negotiations, manage client relationships, and contribute to business development
• JD from an accredited law school
• 3–8+ years (Associate/Counsel) of experience in corporate, finance, funds, or M&A practice, 8+ Partner Level
• Strong drafting, analytical, and deal management skills
• Comfortable interfacing directly with clients, investors, or counter parties
• (For partners) Portable book of business preferred, but not always required
