Attorney​/Lawyer

Description

Robert Half is seeking an experienced Corporate Transactional Attorney with a strong background in mergers and acquisitions. This role focuses on supporting corporate transactions, including buying, selling, and merging companies. The ideal candidate has hands-on deal experience, excellent drafting skills, and the ability to collaborate with cross-functional teams in fast-paced environments.

Schedule:

35-40 hours per week (Standard Business Hours)

Location:

3 days on-site: 2 days remote in NYC

Pay Rate: $90+ per hour

Key Responsibilities

+ Draft and negotiate key transaction documents, including:

+ Purchase agreements

+ Merger agreements

+ Letters of Intent (LOIs)

+ Non-Disclosure Agreements (NDAs)

+ Conduct or oversee due diligence activities.

+ Advise on deal structures, regulatory approval requirements, and board approvals.

+ Collaborate closely with private equity firms, corporate development teams, and investment banking partners.

+ Provide strategic legal counsel throughout all stages of the transaction lifecycle.

Requirements

Ideal Candidate Profile

+ Proven experience in corporate transactional law, particularly M&

A.

+ Strong drafting and negotiation skills.

+ Ability to manage complex deals and multiple work streams simultaneously.

+ Experience working with private equity, corporate development, or investment banking teams.

+ Exceptional communication skills and business judgment.
