A leading law firm is seeking a Corporate Senior Associate M&A Attorney with a minimum of 5+ years of sophisticated experience in M&A transactions, corporate governance, or related areas, ideally gained from a reputable Big Law firm. The successful candidate will play a key role in advising clients on complex M&A transactions, ensuring compliance with applicable laws, and providing strategic legal counsel.
This role involves close collaboration with the firm's corporate team and offers the opportunity to make a significant impact within a well-regarded and supportive environment.
Responsibilities:
- Provide expert legal advice and counsel to clients on a wide range of corporate and commercial matters, including business formations, governance, compliance, contracts, and transactions.
- Guide clients through all phases of M&A transactions, from initial due diligence to post-closing integration
. - Draft, review, and negotiate a variety of M&A-related agreements, such as purchase agreements
, shareholder agreements
, and merger agreements
. - Oversee and manage transaction documents, maintaining comprehensive records of all legal documents and correspondence.
- Collaborate closely with clients to understand their strategic objectives and align legal advice with their business goals.
- Work in tandem with internal teams and partners to deliver cohesive legal services to clients.
- Juris Doctor (JD) from an accredited law school.
- Admitted to the New Jersey Bar (NY Bar admission is a plus).
- Minimum of 5+ years of sophisticated experience in corporate, commercial law, and M&A, preferably with a background in a reputable Big Law firm.
- Strong skills in negotiation

. - Self-starter with strong analytical and critical thinking abilities.
- Ability to manage multiple projects simultaneously and work effectively under pressure.
- Strong commercial/business acumen with a knack for providing creative and pragmatic solutions

- Team player capable of effective collaboration and leadership when required.
- Proficient in Microsoft Office and various accounting and document management software.
