Our client, a premier AmLaw 50 firm, is seeking a talented and motivated Mid-Level Associate Attorney to join its Private Investment Funds (PIF) Group within the Private Equity Practice, with a particular focus on secondary and liquidity transactions. This is an exceptional opportunity to work on sophisticated, market-shaping secondaries and co-investment deals for top-tier private equity sponsors, fund managers, and secondary investors operating in the global private capital markets.

Candidate

Profile
  • JD from a top-tier law school with an excellent academic record
  • Active Bar Admission in New York, in good standing, or eligibility to obtain admission promptly
  • 3–6 years of substantive experience in private investment funds or private equity transactions
  • Experience advising on and managing significant components of secondary transactions for private equity sponsors and secondary investors
  • Familiarity with general fundraising
    , co-investments
    , and other fund-related transactions is a plus
  • Proven ability to draft and negotiate complex fund and transaction documents with precision and commercial insight
  • Strong project management skills with the ability to manage multiple work streams and coordinate across client and internal teams
  • Prior experience at an AmLaw 100 or similarly sophisticated firm required
  • Soft Skills:

    Exceptional communication, analytical, and client management skills; thrives in a collaborative, high-performance team environment
Key Responsibilities
  • Advise private equity sponsors
    , secondary investors
    , and fund managers on secondary transactions and liquidity solutions
  • Draft
    , review
    , and negotiate transaction and fund documents
  • Support fund formation
    , co-investment
    , and other complex investment structures
  • Collaborate with partners and cross-practice teams (M&A, tax, regulatory, and finance) to deliver integrated legal and strategic advice
  • Manage due diligence processes and coordinate with counter parties and advisors throughout all deal stages
  • Provide guidance on evolving market trends, regulatory considerations, and strategic opportunities in the secondaries space

  • Competitive Compensation: Annual base salary is expected to range from $260,000 – $390,000
    , depending on experience, qualifications, and market factors
