Rogers Group, Inc., headquartered in Nashville, is a privately held aggregates and asphalt highway construction company operating in 12 states with over 3,500 employees. RGI, established in 1908, has the distinction of being recognized as the largest privately held aggregate producer in the United States.

We have 86 quarries and 56 asphalt plants across Tennessee, Mississippi, Georgia, Alabama, South Carolina, North Carolina, Kentucky, Arkansas, Texas, Indiana, Illinois, and Ohio.

Rogers Group’s Business Development (“BD”) team is responsible for cultivating, evaluating, and negotiating real estate and operating-business acquisition opportunities to facilitate the company’s growth. The BD team both originates acquisition leads and advises field management on strategies for evolving existing field relationships and contacts into viable leads. The BD team negotiates deal terms with brokers and sellers; drafts term sheets, proposals, and LOIs;

leads and coordinates acquisition diligence; works closely with the company’s FP&A team to assess the financial merits of acquisitions and model future returns; works closely with legal counsel to facilitate all necessary transactional documents; coordinates management and board approval of acquisitions; and assists with post-closing integration.

Rogers Group is seeking a-on, experienced professional to serve in the key role of Director of Business Development, reporting directly to Vice President of Business Development. This position will be based in Nashville, Tennessee, with occasional domestic travel as needed.

The ideal candidate will have meaningful prior M&A experience in the construction-aggregates or civil-construction industries; have strong business and financial acumen; be readily able to translate strategic objectives into actionable opportunities; approach challenges and opportunities with a strategic mindset; be process-oriented, self-starting, and proactive; be comfortable both leading projects and performing discrete tasks to facilitate projects led by others; be professionally mature, personable, and comfortable cultivating relationships with a wide variety of personalities;

be an excellent oral and written communicator with strong interpersonal skills; and be comfortable utilizing current and emerging technology tools.

Job Responsibilities
  • Identify, critically evaluate, and pursue acquisition opportunities centered on the company’s strategic priorities and objectives.
  • Cultivate and build relationships with prospective acquisition targets.
  • Negotiate and document key acquisition terms and conditions.
  • Primary responsibility for managing and coordinating all aspects of acquisition diligence, both externally and with respect to internal subject-matter stakeholders.
  • Work closely and in coordination with the Vice President of Business Development, legal counsel, FP&A personnel, field and corporate management, and other internal and external resources to facilitate acquisition project and process management, diligence, approvals, and closing.
  • Support and contribute to the preparation of board pre-read materials and presentations to facilitate acquisition approvals.
  • Understand the company’s various markets and their respective competitive landscapes.
  • Understand the company’s strategic objectives and contribute to enhancing the tactics and approaches utilized to achieve them.
  • Regularly monitor developments in the construction-aggregates industry and identify emerging trends, markets, and opportunities.
  • Travel domestically as needed to facilitate the responsivities above.
Qualifications
  • MBA, CPA, CFA, JD, or a master’s degree in engineering, geology, or a similar field.
  • At least five years of M&A, corporate development, or similar experience, ideally in or with substantial exposure to the construction-aggregates or civil-construction spaces.
  • Additional prior experience in one or more of the following areas a plus: mining, civil, or mechanical engineering; mining operations or management; geology; commercial or industrial real estate;
    Class
