The Manager – Corporate & Companies Law leads operational legal work, ensuring corporate law compliance, mitigating risks, and providing strategic insights into corporate governance. The role involves advisory decision-making on legal strategies, corporate transactions, and regulatory compliance while ensuring the bank’s legal standing remains robust and risk-mitigated
Responsibilities Mergers and Acquisitions (M&A)- Leads due diligence processes and reviews corporate transaction documents.
- Provides legal oversight for M&A transactions, including deal structuring and negotiations.
- Supports corporate deals by ensuring regulatory approvals and compliance with Omani law.
- Handle legal aspects of real estate transactions, including acquisitions, leases, and property management.
- Oversee legal processes related to foreclosures and repossessions, ensuring compliance with applicable laws.
- Draft/ review / vet / modify contracts, agreements, letters and other documentation within the Bank and assessment of legal implications for the same.
- Provide and interpret legal information and reply to legal queries.
- Review and/or modify draft documentation for general banking business transactions.
- Prepare and authenticate standardized legal documentation and/or legal documents as per requirements of the Bank, where applicable.
- Ensure compliance with Omani securities laws in capital-raising activities, collaborating with internal teams.
- Regularly review ongoing litigation and provide management with case updates and recommendations.
- Work closely with Collections and Remedial Departments to align recovery efforts with legal strategies.
- Provide legal advisory services to branches, departments, and management as needed.
- Manages ongoing legal cases and collaborates with external counsel to ensure litigation compliance.
- Take the lead in setting litigation strategies for the company and directly oversees dispute resolution processes to ensure optimal outcomes
- Ensure compliance with legal and regulatory requirements from the Central Bank of Oman.
- Assist in ensuring adherence to Shariah laws and principles for Islamic banking matters.
- Monitor changes in banking laws and ensure necessary reporting to regulatory authorities.
- Directly ensures compliance with corporate laws and regulations, and actively contributes to regulatory reporting.
- Work closely with leadership to shape corporate governance policies and engage with regulatory bodies on key matters
- Manage legal disputes involving the bank, liaising with external counsel where necessary.
- Support arbitration, mediation, and settlement negotiations to resolve disputes efficiently.
- Draft and review legal documents such as demand letters, complaints, and motions.
- Represent the bank in court proceedings, negotiations, and mediations when required.
- Identify and assess legal risks associated with banking operations and transactions.
- Development and implementation of compliance programs to mitigate risks.
- Provide training to employees on legal and compliance matters as directed
- Support compliance with AML and CTF regulations, ensuring alignment with CBO requirements.
- Assist in fraud prevention initiatives by providing legal insight on financial crime risks.
- Support the legal team in managing casework and legal advisory services.
- Provide guidance to junior legal professionals in their tasks and responsibilities.
- Foster teamwork and collaboration within the legal department.
- Prepare and maintain legal case statistics and litigation reports for internal stakeholders.
- Review legal invoices and ensure compliance with budgetary controls.
- Handle annual law firm performance reviews as per the legal procedure manual.
- Support general administrative and legal work as assigned by senior legal management.
- Engages with internal departments, senior business units, and external legal advisors to address complex legal issues.
- Represents the company in interactions with high-level stakeholders, including regulators and business executives, ensuring seamless integration of legal strategy with corporate goals.
- Omani nationals only
- University degree in Law / MBA is preferred
- Minimum 5 years of relevant experience
