Job Role Purpose & Objective:
Ensuring compliance with the Companies Act, 2013, SEBI (Prohibition of Insider Trading) Regulation, 2015, the Banking Regulations and circulars issued thereunder.
KEY DUTIES & RESPONSIBILITIES OF
THE ROLE
Drafting of Legal Contract & Agreement
Finalising of agenda, minutes, and circular resolution of Board/Committee/General Meeting
Maintaining Statutory Register
E Form filing with the Ministry of Corporate Affairs (MCA)
Monthly/quarterly/half yearly and annual Compliance under various acts/regulations applicable to the Bank
Formulation/review/implementation of Policies/SOP pertaining to Secretarial Team of the Bank
Assisting Internal/Statutory/Secretarial auditor for completing their audit activities
Providing data to RBI inspection
Handling of Complaints/requests/queries received from PNCPS and Equity warrant holders.
Processing payment of Dividend as per the RBI scheme of amalgamation
Ensuring that all the agenda of Board/Committee meetings are uploaded on Cimplyfive
Processing corporate action w.r.t. Debentures
Minimum Requirements of knowledge & Skills
Excellent drafting and revieing of agreements
Good understanding of Companies Act - 2013
Competency & Skills Required
Excellent written and verbal skills
Good drafting skills of agreement
Ability for interpretation of Act/Regulation
