Roles & Responsibilities :
Statutory & Regulatory Compliance :
Ensure statutory compliances under the Companies Act 2013, SEBI Listing (LODR) Regulations , and other Corporate Laws. Manage and drive the web-based compliance tool, ensuring compliance across business processes and functions.
Board & Committee Support :
Prepare resolutions, notices, agendas, and minutes for board and committee(s) meetings, adhering to secretarial standards. Ensure communication and implementation of Board decisions and policies.
Annual & General Meetings :
Assist in the preparation of Annual Reports and the conducting of general meetings / postal ballots.
SEBI & Investor Relations :
Handle compliances under SEBI Prevention of Insider Trading Regulations and the SDD Tool . Manage investor communication and grievances. Liaise and coordinate with RTA, CDSL, NSDL , etc., for transfer, transmission, and dematerialization of shares.
Regulatory Liaison :
Coordinate with Statutory and Regulatory Authorities ( ROC, RBI, SEBI, MCA ), and Depositories, including handling regulatory audits and inspections.
Regulatory Monitoring & Implementation :
Actively track, interpret, and ensure end-to-end implementation of circulars and regulations issued by the Exchanges, Depositories & SEBI. Communicate these to relevant teams with actionable steps.
Filings & Records :
Ensure all periodic and ad-hoc regulatory filings are submitted correctly and on time. Update statutory registers and records.
Process Improvement :
Streamline and improve existing compliance and operational processes. Handle any other work related to secretarial matters as assigned.
Skills Required:
Strong knowledge of the Companies Act 2013, SEBI Listing (LODR) Regulations , and other Corporate Laws.
Proficiency in preparing resolutions, notices, agendas, and minutes for board and committee meetings.
Experience in handling compliances under SEBI Prevention of Insider Trading Regulations .
Ability to manage investor communication and grievances.
Strong coordination skills for liaising with ROC, RBI, SEBI, MCA , and Depositories.
A proactive approach to tracking, interpreting, and implementing regulatory changes.
Excellent organizational skills for timely filings and record maintenance.
QUALIFICATION:
Qualified Company Secretary (CS) with relevant professional experience.
