Role Description
This is a full-time on-site role for a Company Secretary, based in Mumbai. The Company Secretary will be appointed as a compliance officer for a listed company. As a full time company secretary and will be responsible to do all the secretarial compliances and partly legal issues of the company. The person will also be responsible for the secretarial compliances of the other Private Limited and LLP concerns of the group and managing board meetings and general meetings.

Experience:

4-5 Years for compliance of listed companies

Key Responsibilities:

1.⁠ ⁠Manage end-to-end Board, Committee, and General Meeting processes, including scheduling, agenda preparation, circulation of papers, and drafting of minutes.
2.⁠ ⁠Handle all stock exchange communications including disclosures, corporate announcements, quarterly results submissions, and information updates.
3.⁠ ⁠Ensure timely filing of forms with MCA, SEBI, RBI, and other regulatory authorities.
4.⁠ ⁠Handle all the matters related to IEPF such as filing of forms, transferring shares and dividend to IEPF, etc.
5.⁠ ⁠Oversee compliance with insider trading regulations, including maintenance of Structured Digital Database (SDD), trading window closures, and insider communications.
6.⁠ ⁠Maintain statutory registers, minute books, and records as per Companies Act and listing regulations.
7.⁠ ⁠Prepare and file statutory returns, annual reports, etc.
8.⁠ ⁠Coordinate with statutory auditors, secretarial auditors, and internal auditors.
9.⁠ ⁠Ensure prompt redressal of investor grievances in collaboration with RTA and relevant teams.
10.⁠ ⁠Draft, review, and update various policies of the Company

Qualifications &

Skills Required:

• Qualified Company Secretary (ACS/FCS) from ICSI.

• Prior experience in a listed company is a must.

• Strong knowledge of SEBI regulations, Companies Act and other relevant laws.

• Excellent drafting, communication, and stakeholder management skills.

• Ability to work under tight timelines with high accuracy and attention to detail.
