Job Overview

A leading Am Law firm seeks an experienced Corporate Attorney in Mountain View with deep venture capital and emerging company experience. You’ll guide startups and investors from formation through late-stage financings and exits, drive strategic counseling, and manage complex transactions—ideal for a dealmaker pursuing Mountain View legal jobs with scale and impact.

Key Responsibilities

• Advise on venture capital financings, mergers, acquisitions, and other strategic transactions.
• Draft, review, and negotiate term sheets, stock purchase agreements, investor rights agreements, and related documents.
• Provide day-to-day corporate counseling on governance, equity structures, compliance, and scaling strategies.
• Lead legal due diligence and risk assessments; manage multi-party deal processes.
• Collaborate with tax, employment, IP, and regulatory teams to deliver end-to-end client solutions.
• Track market terms and evolving laws to keep clients ahead of trends.

Qualifications

• 10+ years in corporate law with a focus on venture capital and emerging companies.
• Demonstrated record representing startups, venture funds, and growth investors across financings and M&A.
• Outstanding negotiation and drafting skills; comfort running multiple complex deals.
• Business-savvy client counseling and relationship management.
• JD from an accredited law school;
  California Bar required (active license).
