About Versus LLC

Versus LLC is a newly formed holding company acquiring and scaling durable, cash-flow–positive brick-and-mortar businesses across hospitality, consumer services, retail, and manufacturing. The platform is being built from inception, with centralized operating systems, disciplined capital allocation, and technology-enabled execution.

Versus pursues a high-leverage acquisition strategy using senior debt, mezzanine financing, and seller notes, with strict underwriting guardrails and a focus on downside protection, DSCR discipline, and long-term durability.

The Role

We are hiring a Head of M&A to own the end-to-end acquisition function for Versus LLC. This is the most senior execution role in the investment process and carries full accountability for sourcing, diligence, structuring, negotiation, and closing transactions.

This role is not advisory and not analytical. The Head of M&A is a hands‑on deal leader who builds and runs the acquisition engine.

What You Will Own
  • Build and manage the full acquisition pipeline: brokers, off‑market sourcing, referrals, and proprietary outreach
  • Lead all transaction execution from first contact through closing
  • Serve as the primary relationship owner with sellers and intermediaries
  • Conduct and lead on‑site diligence, including physical location visits and operator interviews
  • Underwrite deals against strict guardrails (entry multiple, DSCR, durability, seller financing)
  • Structure transactions including purchase price, seller notes, earn‑outs, and contingent consideration
  • Coordinate all diligence work streams: financial, legal, tax, operational, and lender diligence
  • Work closely with CFO on financing structure and lender materials
  • Drive LOI, APA, and closing timelines with outside counsel
  • Kill deals that do not meet risk and return standards
What You Will NOT Do
  • Run post‑acquisition operations
  • Manage portfolio companies
  • Set capital allocation policy (future CIO responsibility)
  • Perform back‑office financial reporting
Reporting & Authority
  • Initially reports to ownership / board
  • Future reporting line to a Chief Investment Officer
  • Authority to negotiate and execute transactions within defined written guardrails
  • Clear go / no‑go accountability for every deal pursued
Ideal Background
  • 10+ years of direct M&A or acquisitions experience
  • Personally closed multiple lower‑middle‑market transactions
  • Deep experience with leveraged buyouts, senior debt, mezzanine financing, and seller notes
  • Strong negotiation track record with founder‑owned businesses
  • Comfortable traveling for diligence and site visits
  • Disciplined underwriting mindset; proven ability to walk away

Industry experience in hospitality, consumer services, retail, or manufacturing is a plus but not required.

Compensation (No Equity)
  • Competitive base salary
  • Deal execution bonus paid at close (percentage of enterprise value)
  • Quality‑based bonus adjustments tied to pricing discipline, DSCR, and seller financing
  • Deferred and clawback provisions to ensure long‑term discipline

No equity or carry is offered.
