Brief Description
The Corporate Counsel functions both independently and as part of a global legal team to deliver high-quality, timely legal work that supports Zywave’s strategic objectives as a multinational insurtech organization. This role provides sophisticated legal counsel across commercial contracting, compliance, privacy, employment, and corporate initiatives, while fostering a proactive, solutions-oriented approach to risk management and business enablement.
- Lead complex commercial negotiations with mid-market and enterprise customers, partners, insurance carriers, and vendors.
- Draft, review, and negotiate SaaS agreements, data licensing arrangements, and vendor contracts.
- Identify regulatory, contractual, and industry trends (US, UK, EU) and apply them to contracting playbooks and processes.
- Develop and implement contracting best practices and strategic improvements.
- Collaborate on compliance programs for Privacy, AI initiatives, and Data Governance.
- Lead HIPAA compliance efforts and negotiate Business Associate Agreements and data-handling components.
- Conduct legal risk assessments and develop mitigation strategies across business operations.
- Ensure compliance with applicable regulations including HIPAA, ERISA, FMLA, COBRA, worker’s compensation, and privacy regimes.
- Support integration and post-close contract transitions for M&A.
- Support legal trend analysis.
- Provide pragmatic legal advice to senior leaders to support business decisions.
- Participate in cross-functional projects and product initiatives.
- Collaborate with internal stakeholders to ensure practical legal risk management, while supporting go-to-market initiatives.
- Assist in contracting go-to-market initiatives.
- Mentor junior team members and support team development.
- Oversee and improve the legal contracts database and related reporting.
- Maintain strong documentation practices to support audit, compliance, and legal operations.
- Juris Doctor degree from an ABA-accredited law school (or equivalent international credential).
- Minimum three years of progressive legal experience; combination of law firm and in-house preferred.
- Broad experience in commercial contracting, privacy, compliance, and risk management.
- Experience in technology, SaaS, or licensing.
- Working knowledge of US, UK, and EU privacy regimes.
- Demonstrated ability to lead high-value negotiations and manage complex agreements.
- Strong analytical skills with the ability to translate legal concepts into practical business guidance.
- Proven ability to manage compliance programs and strategic legal initiatives.
- Excellent written and verbal communication skills; ability to advise senior leadership.
- Collaborative interpersonal style with adaptability in a fast-paced environment.
- Strong attention to detail and ability to maintain confidentiality.
- Customer centric focus to partner with go-to-market teams.
- Proficiency with Microsoft Office (Word, PowerPoint, Excel).
- Experience with contract lifecycle management tools (SFDC, Link Squares, Docu Sign) preferred.
- Comfort with use of generative AI in daily work.
