We are building a lower-middle-market capital formation platform focused on digital infrastructure and energy transition operators raising $25–$150 million in structured and minority growth capital.
Our sector focus includes:
- Crypto mining and hosting
- EV charging network operators
- Battery storage and grid-adjacent infrastructure
We specialize in structured and hybrid capital solutions, including preferred equity, convertible instruments, and minority growth investments.
Role OverviewWe are seeking a senior banker to originate, structure, and execute capital formation mandates within digital and energy infrastructure.
This is a revenue-generating, process-owning role responsible for leading transactions from mandate through closing.
The ideal candidate combines infrastructure sector fluency, hybrid capital structuring expertise, and hands‑on execution capability.
Key Responsibilities 1. Origination- Identify and source capital formation mandates within target sectors
- Develop direct relationships with founders, sponsors, and management teams
- Articulate capital stack strategies aligned with institutional investor appetite
- Lead engagement negotiations and mandate structuring
- Structure minority and hybrid capital solutions
- Prepare capital materials (teaser, CIM, financial models)
- Manage data room and diligence workflow
- Coordinate legal counsel and investor negotiations
- Drive term sheet negotiation and closing process
- Design preferred equity and convertible structures
- Model IRR outcomes and return sensitivities
- Align investor protections with issuer objectives
- Maintain active relationships with infrastructure growth equity, hybrid capital funds, family offices, and strategic investors
- Develop repeat capital partner relationships
- 7–15+ years of experience in investment banking, infrastructure advisory, or growth capital
- Direct experience closing infrastructure growth capital transactions ($25M–$200M range)
- Experience with minority equity and/or structured preferred instruments
- Exposure to digital infrastructure, energy transition, storage, EV, or adjacent sectors
- Fluency in preferred equity structuring and return modeling
- Understanding of infrastructure underwriting dynamics
- Experience managing full deal lifecycle independently
- Series 7, 79 required
- Additional FINRA registrations as needed
- Prior experience at infrastructure-focused boutique IB or mid-market platform
- Experience at infrastructure growth equity or energy transition fund
- Experience with in a data center, EV, or storage operating platform
- Demonstrated ability to originate mandates independently
- Transaction-based compensation tied to capital raised
- Meaningful upside participation in closed mandates
- Long-term economic participation opportunities
