Opportunity

As Senior Counsel for Technology and Managed Services, you will provide broad legal support for EY’s managed and technology services. You will advise on, draft, update and negotiate client‑facing complex, multi‑year agreements covering services such as outsourcing, systems implementation, application development & maintenance, software licenses, SaaS, artificial intelligence, big data, analytics and cloud computing.

Key Responsibilities
  • Draft, update and negotiate Technology & Managed Services Agreements, advising on contractual strategy, risk and keeping up to date with relevant legal developments.
  • Advise on key legal risks associated with the technology underpinning Managed Services Agreements.
  • Collaborate closely with US GCO members and local counsel in other EY member firms.
  • Coordinate legal resources on managed services projects.
  • Work with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, Tax) as necessary.
  • Ensure contractual documentation protects EY interests.
  • Understand existing EY policies and develop/enhance policies and guidance for managed services and other technology services.
  • Manage workflow in a dynamic environment, remaining responsive, reliable, communicative and accountable to team leadership.
  • Build relationships across GCO and Legal Practice Groups to deliver exceptional service to GCO clients.
  • Develop and deliver training on Technology & Managed Services Agreements and share best practices across the legal network and business.
Qualifications
  • 6+ years of relevant complex services and technology transactional experience, including drafting and leading negotiation of Technology & Managed Services Agreements.
  • Experience negotiating with client internal counsel, outside law firms and procurement teams.
  • Experience developing contracting templates, playbooks and standards.
  • Experience in data privacy, intellectual property law and the use of technology in the context of Managed Services Agreements.
  • Experience with cross‑border contracting (including employee matters such as auto‑transfer laws, local country agreements and cross‑border data transfer).
  • Ability to understand, assess and negotiate terms for current and emerging technologies (cloud, AI, etc.) and explain related legal and business risks.
  • Excellent oral and written communication skills.
  • Excellent negotiation and interpersonal skills.
  • High degree of cultural and emotional intelligence, resilience and flexibility.
  • Ability to work independently and team effectively with colleagues in other functions and geographic locations.
  • Ability to grasp, articulate and document complex legal and contractual principles, balancing risk from legal and commercial perspectives.
  • Highly responsive, managing high workload volumes and competing priorities efficiently.
  • Solution‑oriented with a focus on exceptional client service.
  • Experience in a managed services counsel role in a technology or consulting organization, leading negotiations.
  • Bachelor’s degree from an accredited 4‑year college.
  • Juris Doctor from an accredited law school.
  • Membership in a State Bar as an attorney qualified to practice law.
  • Good standing with the applicable State Bar, including current continuing legal education requirements.
