The Senior Corporate Governance Specialist plays a pivotal role in ensuring the effective governance and administration of the organization. This position supports the Secretary to the Board and legal function, and serves as a key liaison between the Board, executive leadership, and external stakeholders, facilitating communication, maintaining compliance, and supporting strategic decision‑making. The Senior Corporate Governance Specialist ensures that board operations are conducted efficiently, transparently, and in alignment with legal and regulatory standards.

Board Governance & Compliance
- Ensure the Board operates in accordance with bylaws, policies, and applicable legal and regulatory requirements.
- Monitor and advise on governance best practices, regulatory updates, and compliance obligations.
- Maintain corporate records, including bylaws, resolutions, and filings.
Meeting Management
- Schedule and coordinate board and committee meetings, including logistics and technology setup.
- Prepare and distribute agendas, board packets, and supporting materials in advance.
- Transcribe and distribute accurate minutes of meetings.
- Serve as the primary point of contact for board members regarding meeting schedules, materials, and follow‑ups.
- Facilitate communication between the Board, CEO, executive team, and key internal and external stakeholders.
- Support onboarding of new board members with orientation materials and governance resources.
Documentation & Records
- Maintain secure and organized archives of board documents, including minutes, reports, and correspondence.
- Track board member terms, attendance, and committee assignments.
- Ensure timely completion and documentation of board action items.
Strategic & Operational Support
- Assist in the development and review of board policies and procedures.
- Coordinate with legal counsel and auditors as needed for governance‑related matters.
- Process Director payroll.
- Coordinate Director travel (air, ground and hotel accommodations).
- Assist with special projects as requested.
- 5+ years of experience in executive support, governance, or corporate administration.
- Bachelor’s degree in Business Administration, Law, Public Administration, or related field.
- Strong understanding of corporate governance principles and board operations.
- Exceptional organizational, communication, and interpersonal skills.
- Proficiency in document management systems, board portal software, and Microsoft Office Suite.
- Ability to handle confidential information with discretion and professionalism.
- Certified Governance Professional (CGP) or Certified Board Secretary (CBS)
- Proficiency in board portal software
- Strong understanding of corporate governance principles and board operations
