Corporate Paralegal; Law Firm

Source Pro Search is conducting a search for an experienced Corporate Paralegal with our large global law firm client to join their Los Angeles office.

• Mergers and acquisitions, including: organizing data rooms and coordinating due diligence;
• Preparing and maintaining closing checklists;
• Drafting board and stockholder consents;
• Coordinating signings and closings Equity financings, including: LLC financings;
• Venture capital financings;
• Experience preparing and coordinating securities filings, including Form , Form D and state blue sky filings General corporate, including: entity formation;
• Drafting board and stockholder consents and meeting minutes;
• Preparing stock certificates;
• Drafting documents for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and LLCs;
  Docu Sign; and Carta and other cap table management tools
• Experience in secured financing transactions and UCC filings is helpful but not a requirement.

• At least 5 years of current or recent large law firm experience
• Successful candidates will have superior academics, excellent drafting, writing and analytical skills, accurate and strong attention to detail, high level of organization and ability to handle a variety of projects simultaneously, and strong verbal and interpersonal skills.
