Job SummaryThe Contract Review Specialist is responsible for reviewing vendor contracts to ensure all relevant terms are accurately captured and recorded in the contract management system. This role plays a critical part in maintaining the integrity of vendor data, supporting contract compliance, and enhancing the overall vendor management process.
Key Responsibilities- Review and analyze contract documents to determine completeness, identify contract terms and critical dates, and ensure alignment with internal standards.
- Maintain and update Vendor Vault records, ensuring data integrity through accurate entry, contract validation, and archival of outdated documents.
- Redline and revise non-disclosure agreements (NDAs) to align with business objectives and legal standards.
- Research and onboard new vendors, identifying their services and ensuring correct setup within the vendor management system.
- Complete Preferred Contract Terms Checklists (CRR) for reviewed contracts submitted through Vendor Vault.
- Serve as a subject matter expert (SME) on vendor contracts and services, providing support to internal teams and contributing to process improvement initiatives.
- Act as a backup for preparing Vendor Review Kits (VRK), including review and summarization of vendor SOC reports, financials, and insurance documents.
- Identify discrepancies or missing information in contracts and work with relevant stakeholders to resolve issues and ensure accurate documentation.
- Collaborate with internal stakeholders and external vendors to communicate contract expectations, requirements, and revisions effectively.
- Support cross-functional initiatives and special projects requiring contract review expertise or vendor data insights.
- Demonstrated ability to review and interpret complex contractual language, identify critical terms, and assess legal and operational implications, particularly within vendor agreements and NDAs.
- Skilled in using contract lifecycle or vendor management systems such as Vendor Vault, with a strong understanding of data structures, system integrity, and contract tracking workflows.
- Knowledge of financial services vendor requirements, including SOC reports, insurance standards, and regulatory compliance practices relevant to community banks and credit unions.
- Identifies contract inconsistencies and performs in-depth analysis to ensure accurate extraction and documentation of contract terms.
- Uses critical thinking to resolve discrepancies in vendor information and maintain data integrity across platforms.
- Supports contract compliance and operational efficiency by ensuring accurate vendor contract records in Vendor Vault.
- Enhances organizational knowledge and decision-making by serving as a contract SME for internal stakeholders.
- Coordinates with internal teams and external vendors to clarify and finalize contract details.
- Collaborates across departments on projects and ad-hoc tasks, offering contract expertise to support team objectives.
- Influences contract processing quality through effective redlining and vendor setup.
- Maintains regular interaction with stakeholders and vendors to ensure consistency and alignment with organizational standards.
- Supervisory Responsibility: None.
- Autonomy: Independently manages the contract review process and maintains Vendor Vault accuracy with minimal supervision. Exercises discretion in identifying issues and implementing updates or redlines.
