Senior Tax Manager - Deals Tax (Share Schemes & Incentives)

London | Hybrid | £100,000 + car allowance, bonus & benefits

A leading Big 4 accountancy firm is seeking a Senior Tax Manager to join its specialist Deals Tax team focused on management and employee incentive arrangements. The team advises on the tax and commercial aspects of share schemes, MIPs, and other reward structures in the context of transactions, including acquisitions, disposals, and IPOs.

You will work closely with Private Equity clients and C-suite executives of PE-backed portfolio companies, providing technical advice on high-profile transactions in a fast-paced and dynamic environment.

• Lead advisory projects covering UK and international tax issues before, during, and after deals.
• Advise management teams and PE investors on management incentive plans (MIPs), including implementation, equity resets, and joiner/leaver events.
• Support exit planning, including sales to new investors, trade buyers, IPO preparation, and tax due diligence.
• Deliver clear, bespoke technical advice while collaborating with junior and senior colleagues.
• Build and maintain strong client relationships and work effectively with internal teams and external advisers.
• Contribute to business development initiatives, including proposals, networking, and opportunity identification.

• ACA and/or CTA qualified (or international equivalent), or equivalent relevant experience.
• Strong technical expertise in share schemes, management incentive plans, and rewards tax.
• Experience working in Deals or transaction-focused tax advisory.
• Excellent communication and influencing skills, able to explain complex issues clearly.
• Strong analytical, project management, and report-writing capabilities.
• Commercially minded, curious, and comfortable problem‑solving in a collaborative team.
