Join Team CARFAX as an Associate General Counsel, Commercial ContractsWe are searching for an Associate General Counsel, Commercial Contracts to join the CARFAX team. This role will be responsible for supporting a rapidly growing business by partnering with and advising business teams on a variety of commercial contracts and legal issues. This role represents an excellent opportunity to make substantial contributions to a dynamic and thriving business. The successful candidate will be an experienced commercial contracts attorney who is a team player and someone who can creatively solve problems while applying sound business and legal judgment to a wide variety of commercial contracts and relationships.
This role reports to the Vice President, Deputy General Counsel.
What you’ll be doing:Draft, review and negotiate a variety of commercial contracts, including data agreements, online terms and conditions, subscription agreements, non-disclosure agreements, technology and software licenses, SaaS agreements and professional services agreements (including, SOWs).Review, analyze, and revise existing contract templates to ensure compliance with current laws, regulations and industry best practices.Monitor and analyze privacy laws and regulations, including data protection policies and practices.Special projects on an as-needed basis.This role has a minimum requirement of at least 3 days in the London, ON office per week, subject to change based on future business needs.
What we’re looking for:
Bachelor of Laws (LLB), Juris Doctor (JD), or equivalent from an accredited institution.Licensed to practice law in Ontario and a member in good standing of the Law Society of Ontario.At least 5 years law firm or a combination of law firm and in-house hands-on experience drafting and negotiating contracts.Strong understanding of several key areas of law such as contract law, corporate law, intellectual property, regulatory compliance, and data privacy law as it relates to the data and technology industries.Experience effectively handling a high volume of contracts.Familiarity with AI/ML issues a plus.Excellent verbal and written communication, negotiation and presentation skills with the ability to effectively interact with legal and non-legal team members.Detail-oriented with strong organizational skills.Aptitude to quickly learn and develop new skills.Independent and innovative thinker with excellent analytical and reasoning skills and judgment.Ability to juggle multiple clients and projects simultaneously with competing demands.Strong work ethic with excellent follow up skills and a proactive mindset.A self-starter with an ability to work independently and as part of a team.
