White Summers Caffee & James (), a boutique corporate law firm with offices in Oregon and California, is seeking a Senior Corporate Paralegal to join our team and assist with various corporate governance, compliance and transactional matters for our clients.
This is a full-time, in-office position (hybrid not an option) in our office located in Lake Oswego, Oregon.
In addition to the specific requirements indicated below, the Senior Corporate Paralegal will be responsible for: preparing and maintaining corporate documents, entity electronic and other corporate records documentation; assisting with mergers and acquisitions, and private financing transactions; liaising with clients and ensuring compliance with state and federal regulations, including filings with the U.S. Securities and Exchange Commission (SEC) via EDGAR and the North American Securities Administrators Association (NASAA) via EFD;
and a variety of projects the legal team may require.
As part of the job, you will focus primarily on the following areas:
- Provide high level paralegal and administrative support with minimal supervision; demonstrate exceptional organizational skills and handle various legal tasks with strong attention to detail. Must have strong written and oral communication skills, ability to meet deadlines and manage multiple tasks within a fast-paced environment.
- Support the legal team for a variety of clients by drafting resolutions and minutes at the corporate and subsidiary levels for: election of officers and directors, updating of corporate requirements, and any other events requiring formal approval pursuant to governing documents and/or laws; preparing documents for qualification and withdrawal of entities in foreign jurisdictions; making annual filings; and filing amendments to corporate organizational and charter documents.
- Assist in the formation, conversion/merger and dissolution of corporate entities, mostly in Delaware, Oregon and California.
- Assist clients with filing of annual Delaware franchise tax reports via Delaware Corporations Information System (DCIS).
- Support the legal team in mergers and acquisitions, private financing transactions, including due diligence and document preparation.
- Prepare and file UCC financing statements including amendments and terminations to financing statements.
- Assist with the onboarding, entry and maintenance related to various client’s electronic equity management in Carta, Pulley and other similar platforms.
- Prepare Form D SEC filings for private offering financings for submission via EDGAR and related state notice filings via EFD.
- Draft IRS forms for obtaining employer identification numbers, assist in the completion and filing of 83(b) elections, S Elections and QSub Elections, and other IRS forms as required.
- Communicate and work directly with clients as needed.
- Potential research and review of developments in a variety of legal areas, including securities, corporate governance, and compliance.
- Assist with the annual malpractice policy renewal.
- Assume additional responsibilities for supporting other members of the firm, as needed or directed.
- Ability to manage your own time with limited or no supervision.
- Ability to hit the ground running and take charge of the position.
- Ability to multitask, prioritize and be extremely responsive and flexible in a fast-paced environment.
- Strong interpersonal skills and ability to work in a team and forge strong working relationships with clients.
- Strong attention to detail and organizational skills.
- Strong oral and written communication skills.
- Experience with Microsoft Word, Excel and Adobe Acrobat preferred.
- Experience with Delaware annual franchise tax report electronic filings
- Experience with disclosure schedules, closing checklists and signature trackers for mergers and acquisitions and private note and stock financings.
- Experience with enrolling new clients via EDGARNext, Form D and other securities filings in EDGAR and EFD, equity management software platforms such as Carta and Pulley, and e-signature platforms such as Docusign and Drop Box Sign.
- 5+ years corporate paralegal or legal assistant experience (in-house corporate legal department and/or law firm environments) strongly preferred.
Starting annual salary range for this position is $100,000 - $125,000.Full benefit package for employee, including 401(k), plus eligibility for annual bonus.
