Job Description :
The Lead – Legal & Compliance will manage and oversee the company's legal and compliance
operations, ensuring efficiency, risk mitigation, and adherence to statutory and regulatory requirements.
The role involves implementing frameworks, standardizing processes, coordinating the legal team, and
monitoring compliance across the organization. The Lead will support contracts, audits, policy
implementation, IP management, and risk mitigation to drive operational efficiency in legal operations.
Key Responsibilities
1. Legal & Compliance Operations
○ Manage day-to-day legal matters and provide practical guidance to internal teams
○ Implement standardized legal frameworks, automated workflows, and internal checklists
○ Monitor compliance with statutory, regulatory, and contractual obligations
○ Track emerging laws and regulations relevant to EdTech, education, and fintech sectors
2. Contract Management
○ Draft, review, and negotiate contracts including NDAs, MSAs, SaaS agreements, vendor
agreements, content partnerships, licensing, leases, and LOIs
○ Maintain a repository of standard contract templates and approval workflows
○ Conduct periodic contract audits to ensure compliance and mitigate risks
○ Support teams on contract interpretation, renewals, amendments, and dispute resolution
3. Corporate Secretarial & Statutory Compliance
○ Ensure compliance under Companies Act, 2013, and other applicable laws
○ Manage Board, Committee, and General Meetings, including drafting resolutions,
minutes, and filings
○ Maintain statutory registers and coordinate with auditors and consultants for compliance
○ Support internal and external audits related to corporate compliance.
4. Fundraising & Investor Compliance
○ Support legal documentation for fundraising rounds, including term sheets, SHAs, SSAs,
and side letters
○ Ensure compliance with FEMA, FDI, RBI, and other regulatory requirements
○ Coordinate due diligence with external counsel and investor legal teams
○ Review and validate investor agreements and contractual obligations
5. IPO & Capital Market Support
○ Assist in compliance and documentation groundwork for potential IPOs or capital-raising
initiatives
○ Coordinate with internal teams and external advisors to prepare filings, disclosures, and
DRHP documentation
○ Implement processes for ongoing compliance post-listing.
6. Policy Implementation & Risk Management
○ Draft, implement, and monitor internal policies such as POSH, Whistle blower, Ethics,
Data Privacy, and Code of Conduct
○ Conduct internal compliance audits and review reports to identify gaps
○ Support corrective actions and implementation of best practices based on audit findings
○ Develop risk registers and track compliance status across departments
7. Dispute Resolution & Litigation Management
○ Manage pre-litigation notices, consumer complaints, grievances, show-cause notices and
internal disputes
○ Coordinate with external counsel on ongoing litigation, settlements, and enforcement
matters
○ Maintain records of disputes, litigation status, and follow-ups
○ Provide guidance on dispute resolution strategies and internal escalation processes
8. Intellectual Property (IP) Management
○ Oversee filing, registration, and protection of trademarks, copyrights, patents, and domain
names
○ Advise teams on IP usage, infringement avoidance, and licensing agreements
○ Maintain IP registers and track renewals and compliance obligations
○ Develop internal IP playbooks and guidelines for product, marketing, and content teams
9. Team Coordination & Operational Management
○ Coordinate the internal legal and compliance team to ensure timely execution of
responsibilities
○ Allocate tasks, monitor performance, and provide guidance on workflows
○ Mentor team members on legal processes, documentation, and operational best practices
○ Conduct periodic training sessions for internal stakeholders on legal, compliance, and risk
management topics
10. Process Optimization & Knowledge Management
○ Develop and maintain playbooks, templates, checklists, and automated processes for legal
operations
○ Conduct periodic reviews of workflows, contracts, and compliance processes to identify
efficiency improvements
○ Maintain knowledge repositories for legal, compliance, and regulatory matters
○ Track key legal metrics, risk exposures, audit outcomes, and compliance performance for
management reporting
11. Cross-functional Collaboration
○ Work closely with various teams to operationalize legal and compliance requirements
○ Support business initiatives with legal input, contracts, and regulatory guidance
○ Serve as a point of contact for third-party audits, due diligence exercises, and regulatory
inspections
