Counsel, Technology and Managed Services
This role supports EY’s business by serving as trusted advisors to the EY community and providing the highest quality legal services to EY’s service lines and business enablement functions.
OpportunityAs Counsel for Technology and Managed Services, you will provide advice, counsel, and legal support for the provision of managed services, outsourcing, systems implementation, application development, software licenses, SaaS agreements, AI, big data, analytics, and cloud computing. You will advise on contracting strategy and risk, draft, update, and negotiate client‑facing agreements, and support various EY technology and product teams.
YourKey Responsibilities
- Draft and negotiate client‑facing Technology & Managed Services Agreements, advising on contractual strategy and keeping up to date with legal developments.
- Advise on legal risks associated with technology underpinning Managed Services Agreements.
- Collaborate closely with US GCO members and local counsel in other EY member firms.
- Coordinate legal resources on managed services projects.
- Support coordination with cross‑functional teams (Data Privacy, Talent, Information Security, Tax).
- Ensure contractual documentation protects EY interests.
- Develop or enhance policies relevant to managed services.
- Manage workflow in a dynamic environment while communicating reliably with GCO leadership.
- Build relationships and teamwork within GCO and the Legal Practice Groups.
- Develop and deliver training on Technology & Managed Services Agreements.
- 4+ years of complex services and technology transactional experience in a client‑facing capacity.
- Experience drafting, negotiating, and developing contracting templates and playbooks.
- Experience in data privacy, intellectual property law, and technology provision in Technology & Managed Services Agreements.
- Experience with cross‑border contracting, including employee matters and data transfer.
- Ability to assess and negotiate terms for current and new technologies, including cloud and AI.

- Managed services counsel experience in a technology or consulting organization.
- Bachelor’s degree and Juris Doctor from an accredited law school.
- State bar membership as an attorney qualified to practice law.
- Good standing with applicable State Bar and current continuing legal education.
