Overview
The Board Governance Paralegal will support the General Counsel in managing board governance matters, drafting resolutions, and ensuring compliance with statutory and regulatory requirements. This position supports board and committee meetings and maintains official organizational records.
Position DetailsPosition Type: Temp-to-Hire (3-6 months before conversion)
Location: Downtown Houston
Parking: Responsible for own parking – there is a lot about two blocks away (approximately $5/day)
Pay: Up to $40/hour
Schedule: 100% In-Office | Monday–Friday, 8:00 AM–5:00 PM (no or very little overtime)
Basic FunctionProvides comprehensive support and assistance to attorneys in all facets of Legal Department operations, including governance matters, legal file maintenance, client contact, scheduling, and special projects. Maintains strict confidentiality and discretion in all aspects of client representation. Performs duties safely and in compliance with all applicable rules and procedures.
Responsibilities- Assist with drafting and coordinating the preparation of board materials, including minutes, scripts, resolutions, motions, official transcripts, and related documents.
- Draft, review, and revise board-related documents and other legal instruments on behalf of the Legal Department.
- Respond to discovery requests, arrange depositions, order records, and organize litigation materials as needed.
- Perform legal research; locate case law, statutory authority, administrative regulations, and other pertinent legal resources.
- Draft pleadings, memoranda, correspondence, and other legal documents for attorney review and approval.
- Track and maintain deadline calendars to ensure compliance with court, statutory, and internal deadlines.
- Coordinate and maintain case lists, trial dockets, and governance schedules for assigned attorneys.
- Participate in all aspects of trial and meeting preparation, including notebooks, discovery updates, and witness coordination.
- Attend and assist at board meetings and related sessions.
- Manage case intake and client communication in a timely and professional manner.
- Assist in compiling responses to requests under the Texas Public Information Act.
- Collaborate with Legal Department staff to achieve annual and quarterly goals.
- Organize and maintain filing systems for governance and legal matters, ensuring compliance with records management policies and the Local Government Records Act.
- Partner with internal stakeholders to ensure timely completion of complex legal and governance activities.
- Lead special projects as assigned by attorneys.
- Provide excellent customer service to internal and external contacts.
- Promote safety awareness and follow established procedures to ensure a safe work environment.
- Perform other job-related duties as assigned.
- Paralegal Certification is REQUIRED (from an ABA-accredited program).
- Minimum 5 years of paralegal experience, preferably supporting corporate governance, board operations, or public entities.
- Excellent attention to detail, organization, and writing skills.
- Strong working knowledge of Microsoft Office Suite, Lexis Nexis, Westlaw, and document management systems.
- Professional communication skills and the ability to work effectively with senior leadership and public officials.
