The Corporate Paralegal provides high‑level legal support to the company’s in‑house counsel and business teams. This role is responsible for managing corporate governance, drafting and maintaining legal documents, supporting transactions, and ensuring compliance with applicable laws and internal policies. The ideal candidate is detail‑oriented, proactive, and comfortable operating in a fast‑paced corporate environment.
JOB FUNCTIONS AND
KEY RESPONSIBILITIES:
- Maintain corporate records, including minute books, board resolutions, consents, and organizational charts.
- Assist with the formation, qualification, and dissolution of legal entities in various jurisdictions.
- Track and file annual reports and other corporate compliance filings.
- Draft agreements and certificates.
- Draft, review, and revise standard contracts such as NDAs, vendor agreements, engagement letters, and amendments.
- Assist the legal team with other projects as needed
- Other duties as assigned
MINIMUM ESSENTIAL
QUALIFICATIONS:
- Bachelor’s degree or equivalent experience.
- 3–5+ years of corporate paralegal experience, preferably in‑house or at a corporate law firm.
- Strong knowledge of corporate governance, entity management, and contract administration.
- Excellent drafting, organizational, and project‑management skills.
- Ability to handle sensitive information with discretion.
- Proficiency with Microsoft Office and document/contract management platforms.
- Ability to develop and sustain relationships with clients at all levels.
- Proven track record as a team player.
- Strong ability to influence, provide point of view and to listen.
- Ability to handle ambiguity, juggle many matters at once, and quickly shift from one situation or task to another.
- Solution oriented.
PREFERRED QUALIFICATIONS:
- Paralegal certificate from an ABA‑approved program.
- Experience with public company governance and SEC filings.
- Familiarity with e‑signature tools and legal operations technology.
