Energy Regulatory Attorney (Transactional Focus)

This position is available in multiple cities, including Austin, Dallas, and Houston
.

You will work on high-stakes, sophisticated energy deals, interfacing with regulators (e.g., FERC, state PUCs), negotiating complex contracts, performing regulatory due diligence, and helping clients structure and execute energy transactions that comply with regulatory frameworks.

Responsibilities
  • Advise on regulatory due diligence for the acquisition, financing, or sale of energy assets (generation, transmission, storage, hybrid, etc.).
  • Prepare, file, and prosecute applications with FERC under Section 203 of the Federal Power Act (for disposition/acquisition of jurisdictional assets), Section 204 (issuance of securities), Section 205 (market-based or cost-based rate filings), and related regulatory instruments.
  • Advise on exemptions, certifications, and status determinations (e.g., Exempt Wholesale Generator, Qualifying Facility) under PUHCA, PURPA, and related statutes and rules.
  • Counsel on generator and transmission interconnection matters, transmission service agreements, shared facilities agreements, network upgrades, congestion rights, and related matters in RTO/ISO environments.
  • Negotiate and draft power purchase agreements (PPAs), tolling agreements, energy hedging contracts, ancillary services agreements, and other definitive documents involving energy products and services.
  • Collaborate with cross-functional teams (finance, tax, engineering, development, real estate) to structure transactions aligned with regulatory constraints and business objectives.
  • Stay abreast of evolving energy policy, regulatory reforms, rule makings, and market developments to proactively counsel clients.
Qualifications
  • J.D. from an accredited law school, with strong academic credentials.
  • Admission to the bar (active or willingness to seek) in relevant jurisdiction(s).
  • Experience advising on project financings (debt, tax equity, equity, bridge loans) in renewable, conventional, storage, or hybrid projects is highly desirable.
  • Strong analytic, writing, and communication skills; ability to distill complex regulatory concepts for clients and business teams.
  • Demonstrated ability to manage multiple sophisticated matters concurrently and work under deadlines.
Preferred
  • Prior experience in a law firm or in‑house/consulting role with exposure to both regulatory and transactional work in the energy sector.
