Corporate Development Manager (Private Equity - Midstream)

Our client is a private equity‑backed midstream energy platform headquartered in Houston, focused on building a scaled, long‑life natural gas infrastructure business across key U.S. basins. The company is in an active growth phase, pursuing acquisitions, greenfield developments, joint ventures, and strategic partnerships.
We are seeking a highly motivated Corporate Development Manager to support and execute the company’s M&A and strategic growth initiatives. This individual will play a critical role in evaluating, structuring, and executing transactions across the midstream natural gas value chain.
Key Responsibilities- Lead financial analysis and valuation of acquisition and organic growth opportunities, including DCF, LBO, and accretion/dilution modeling
- Develop and maintain complex financial models for midstream natural gas assets (gathering, processing, transportation, storage)
- Conduct commercial, financial, and operational due diligence in partnership with internal teams and external advisors
- Support negotiation and execution of transactions, including purchase agreements, joint ventures, and structured investments
- Prepare investment memoranda and presentation materials for senior management and the Board
- Monitor market trends, competitive dynamics, and strategic opportunities within the natural gas and broader energy infrastructure sector
- Interface with private equity sponsors on deal execution, capital allocation, and portfolio strategy
- Collaborate cross‑functionally with operations, engineering, commercial, and finance teams
- 5–7 years of relevant experience in:
- Private equity (energy‑focused)
- Corporate finance or corporate development within oil & gas
- Strong experience across the oil and gas value chain, with a preference for midstream and long natural gas infrastructure exposure
- Demonstrated transaction experience (M&A, asset acquisitions, JV structuring, project financings)
- Advanced financial modeling and valuation skills
- Strong commercial acumen and understanding of midstream contract structures (e.g., fee‑based, MVCs, acreage dedications)
- Bachelor’s degree in Finance, Economics, Engineering, or related field (MBA a plus)
- Exceptional analytical, communication, and presentation skills
- Experience evaluating gathering & processing systems, interstate/intrastate pipelines, or storage assets
- Familiarity with basin dynamics across key U.S. natural gas regions
- Experience working with private equity sponsors
- Entrepreneurial mindset and ability to operate in a lean, high‑growth environment
- Direct exposure to C‑suite and Board‑level decision making
- Meaningful responsibility in transaction execution
