Corporate Development Associate (Midstream - Private Equity)

Our client is a private equity-backed midstream energy platform headquartered in Houston, focused on building a scaled, long-life natural gas infrastructure business across key U.S. basins. The company is executing an active growth strategy through acquisitions, greenfield development, joint ventures, and strategic partnerships.
We are seeking a highly analytical and driven Corporate Development Associate to support the evaluation and execution of strategic transactions across the midstream natural gas value chain. This role offers significant exposure to senior leadership and private equity sponsors, with meaningful responsibility in transaction execution and financial analysis.
Key Responsibilities- Build and maintain detailed financial models (DCF, LBO, accretion/dilution) for acquisitions and organic growth projects
- Analyze potential midstream natural gas assets including gathering & processing systems, pipelines, and storage
- Conduct financial, commercial, and operational due diligence in partnership with internal teams and third-party advisors
- Support transaction execution, including data room management, diligence tracking, and coordination with legal and financing parties
- Prepare investment memoranda, management presentations, and board materials
- Perform market research and competitive analysis across the natural gas and broader energy infrastructure landscape
- Assist with capital markets activities and financing processes as needed
- Work cross-functionally with commercial, operations, engineering, and finance teams
- 3–5 years of relevant experience in:
- Investment banking (energy or natural resources group preferred)
- Private equity (energy-focused preferred)
- Corporate finance or corporate development within oil & gas
- Exposure to oil & gas transactions, ideally within midstream and long natural gas infrastructure
- Strong financial modeling and valuation skills
- Understanding of midstream commercial structures (fee-based contracts, MVCs, acreage dedications preferred)
- Bachelor’s degree in Finance, Economics, Engineering, or related field (MBA a plus but not required)
- Strong analytical, communication, and organizational skills
- Ability to operate in a fast-paced, sponsor-backed environment
- Direct experience evaluating gathering & processing systems or pipeline assets
- Familiarity with U.S. basin dynamics
- Prior experience working in a private equity-backed company
