Overview

Supports the General Counsel’s office in carrying out the functions of the legal department. Manages preparation and distribution of materials and assists with the coordination of board and shareholder meetings. Manages and maintains corporate documents, minutes, and other materials. Supports commercial and acquisition transactions.

Responsibilities
  • Drafts, files, and manages various business entity documents for corporations, LLCs, and partnerships with State agencies.
  • Maintains entity management platform.
  • Coordinates with registered agent regarding annual reporting responsibilities.
  • Manages the preparation and distribution of all materials for shareholder, board and committee meetings, preparation of preliminary minutes for all meetings, and application and upkeep of the matrix of topics by meeting; assists with management of meeting processes, including coordinating task lists and calendars; serves as liaison with shareholder services office.
  • Drafts legal contracts, correspondence, and other documents under attorney supervision.
  • Coordinates, receives, and sends signatures for documents, resolutions, and related materials.
  • Supports assigned commercial transactions, including checklist management and document coordination.
  • Provides contract screening and support for standard agreements, i.e., non-disclosure agreements.
  • Communicates and coordinates as needed with management, board members, shareholders, employees, and outside counsel.
  • Tracks service of process received and related deadlines.
  • Performs special projects and other duties as assigned.
Specific Skills
  • Strong understanding of legal terminology and corporate and real estate verbiage.
  • Capability to work with and use technology solutions to store, manage, and organize documents and materials, including virtual data rooms, Adobe, and document management systems, preferably Net Documents.
  • Familiarity with organizational software for tracking company entities and producing organizational charts, preferably Entity Keeper.
  • Ability to create, manage, and publish communications and materials for board members using dedicated technology, preferably Diligent.
  • Proficiency in Microsoft Office Suite.
  • Excellent written and verbal communication skills.
  • Excellent organizational and multi-tasking skills.
  • Exercises judgment, initiative, and discretion in confidential and sensitive matters.
  • Ability to establish and maintain working relationships with co-workers, supervisors, vendors, board members, and shareholders.
  • Aptitude to work independently.

Paralegal Certificate or Paralegal Associate degree with a minimum of 5 years of experience or High School diploma/GED with 10 years of relevant experience.

Physical Requirements

Possess close visual acuity and visual acuity to operate a motor vehicle. Sedentary work with the ability to frequently talk, hear, finger, grasp, reach, stand, and walk, and repetitive motion and occasionally climb, stoop, crawl, push, and grasp.

Working Conditions

On-site; office setting without being substantially exposed to adverse environmental conditions.

Shift Schedule

Monday through Friday, 8:30am to 5:30pm. Option to work remotely on Fridays.
