Overview
We have partnered with our client in their search for an Interim Senior Corporate Governance Paralegal.
Responsibilities- Upload and manage board materials using the Diligent board portal
- Coordinate schedules and logistics for Board of Directors and committee meetings
- Support preparation and execution of the Annual Shareholder Meeting, including proxy-related tasks
- Draft and file Section 16 forms related to stock vesting and trading windows
- Coordinate blackout trading window notices and compliance communications
- Assist with drafting board resolutions and meeting materials based on prior templates
- Collaborate with General Counsel and external SEC counsel on Form 8-K filings and other disclosures
- Prepare for and support board meetings, including agenda planning and material distribution
- Proven experience supporting board operations at a publicly traded company
- Strong familiarity with SEC filings, including Form 8-K, and interaction with external counsel
- Proficiency with Diligent or similar board portal platforms
- Ability to draft board resolutions and manage confidential board communications
- Excellent organizational and project management skills with attention to detail
- Strong interpersonal skills and experience working directly with C-Suite and Board members
- Paralegal Certification required
- 10+ years of experience as a corporate paralegal, with at least 5 years supporting a Corporate Secretary or Governance function at a public company
- Experience working in fast-paced, high-stakes legal environments with direct exposure to board governance and SEC compliance
