About the Role:
The Professional Services Contract Manager is responsible for the intake, review, coordination, and governance of vendor and customer-facing contractual documents, including Master Services Agreements (MSAs) and Statements of Work (SOWs), Non-disclosure agreements (NDAs), Vendor agreements, for a subsidiary company. This role ensures all contracts comply with parent company standards, risk policies, and commercial guidelines while supporting timely execution.
In addition to contract review and coordination, this role plays a key part in improving contract lifecycle efficiency by identifying process gaps, reducing friction across stakeholders, and recommending scalable, simplified improvements.
Duties & Responsibilities:
Contract Review & Compliance
- Review incoming agreements to ensure alignment with parent company legal, commercial, and risk standards, utilizing AI-enabled contract review tools.
- Identify deviations from approved templates, fallback positions, and policy thresholds.
- Clearly document discrepancies, risks, and required changes for internal stakeholders.
- Ensure consistency across commercial terms, scope, pricing, delivery assumptions, and legal language.
- Act as the central point of coordination between Sales, Delivery, Finance, and the parent company legal contract's function.
- Manage contract redlines and iterative review cycles, ensuring timely feedback and resolution.
- Track approval status, exceptions, and required escalations through the contract lifecycle.
- Support sales teams by balancing compliance requirements with practical deal execution.
- Analyze current contract intake, review, and approval workflows to identify inefficiencies and bottlenecks.
- Recommend improvements to templates, playbooks, approval paths, and handoffs to streamline execution.
- Partner with Legal, Sales, and Delivery teams to standardize best practices.
- Contribute to scalable solutions such as contract intake tools, clause libraries, and automated (AI) review processes.
- Maintain documentation of contract standards, exception patterns, and recurring issues.
- Provide reporting and insights on contract cycle times, exception frequency, and risk trends.
- Support audits and internal reviews related to contract compliance and governance.
- Bachelor's degree in Business, Legal Studies, Finance, or a related field.
- 5+ years of experience in contract management, deal desk, sales operations, or professional services contracting.
- Hands-on experience reviewing MSAs and SOWs in a B2B services or technology environment.
- Strong understanding of professional services delivery models and commercial constructs.
- Proven ability to manage cross-functional stakeholders and competing priorities.
- Experience operating within a parent / subsidiary or multi-entity corporate structure.
- Familiarity with contract lifecycle management (CLM) tools and workflow systems.
- Exposure to legal risk frameworks, fallback positions, and escalation models.
- Experience driving operational or process improvements in sales or contracting functions.
