Terms of Use

, Inc. D/B/A NEOGOV on behalf of itself and its subsidiaries offers proprietary web-based software-as-a-service applications (the “SaaS Applications”) and maintains various Websites (the “Services”). By using the Services, you accept and agree to be bound by these Terms of Use and our Privacy Policy, incorporated herein by reference. If you do not agree, do not access or use the Services.

If you use the Services as part of a paid subscription, the Customer Contract governs delivery, access, and use of the Service. The terms within such Customer Contract control to the extent of any direct conflict with these Terms of Use.

If you are using a SaaS Application on behalf of a Customer, you acknowledge and agree to be bound by these Terms of Use and Privacy Policy and you are responsible for all actions performed on your registered account. The party that administers the SaaS Application controls your access and permissions.

Please read the Terms of Use carefully before you start to use the Services. We may revise and update these Terms from time to time. All changes are effective when posted and apply to all access thereafter. Your continued use after posting means you accept the changes.

Eligibility
:
These Services are offered to users who are 18 years of age or older. We are based in California, USA. Access from outside the United States is at your own initiative and you are responsible for compliance with local laws. You remain responsible for compliance with U.S. export laws and regulations.

Accessing Services and Account Security
:
We grant a non-exclusive, limited license to use the Services for the purposes described. You may be asked to provide registration details and you agree the information is correct and complete. You acknowledge that your account may be managed by the entity that owns your email domain. You must protect your login credentials and notify us of any breach. We may disable accounts for violations.

Term and Termination:
Subscriptions renew automatically unless a notice of non-renewal is provided at least 30 days before term end. Termination by a user or NEOGOV is possible for cause or convenience. NEOGOV may alter, suspend, or discontinue the Services without liability. Rights to use and disclose feedback survive termination.

Intellectual Property Rights
:
The Services and NEOGOV Content are owned by NEOGOV and protected by law. You may use the Services for personal, non-commercial use or internal business use for Customers. Trademarks and look-and-feel are protected. No license to NEOGOV Content is granted except as expressly provided.

Prohibited Uses
:
You may only use the Services for lawful purposes and in accordance with these Terms. Prohibited activities include introducing malware, creating false identities, disclosing confidential information, reverse engineering, using the Services for unauthorized commercial purposes, and actions that impair the Services or mislead consumers. You may not copy or misrepresent NEOGOV Content, or interfere with the Services’ operation.

Additional prohibitions include restrictions on spamming, scraping, unauthorised access, and actions that could harm NEOGOV, users, or the Services. If you access content on behalf of a Customer, you must comply with applicable regulations and protect any sensitive information.

Monitoring and Enforcement;
Termination
:
We may monitor the Services to comply with laws, operate the Services, and protect our interests. We may remove User Contributions, take action against violations, disclose information to third parties, and terminate or suspend access for violations. We may cooperate with law enforcement. You waive certain claims against NEOGOV in investigations. We may not screen or police all content; NEOGOV disclaims liability for user content.

Content Standards
:
User Contributions must comply with applicable laws and not be defamatory, obscene, infringing, or harmful. Contributions must not imitate NEOGOV’s identity or mislead others. You are responsible for the legality, accuracy, and completeness of your records and data.
